Terms of Service
Version 2026-10-17 (effective date)
These Terms of Service ("Terms") govern use of the Steeryn platform at steeryn.com (the "Service"), operated by Costa Technology Advisory LLC, a Texas limited liability company ("Steeryn", "we"). By signing in to the Service you agree to these Terms; if you do not agree, do not use the Service.
Steeryn is business software for charter-yacht management companies. Access is invite-only: you can use the Service only because a subscribing management company (the "Customer") invited you as one of its Authorized Users (its staff, or an owner or crew member of a vessel it manages).
1. Relationship to the Subscription Agreement
1.1 Each Customer subscribes under a Subscription Agreement (with an Order Form and a Data Processing Addendum). If anything in these Terms conflicts with a Customer's Subscription Agreement, the Subscription Agreement controls for that Customer and its Authorized Users.
1.2 These Terms add the day-to-day platform rules: accounts, acceptable use, and the disclaimers every user should see.
2. Accounts
2.1 Invitation only. There is no public signup. Accounts are created when a Customer's administrator invites you; your role (manager, fleet manager, owner, crew) is set by the Customer and determines what you can see.
2.2 Your credentials. Provide accurate account information, keep your password confidential, and don't share your account. You are responsible for activity under your account; tell the Customer's administrator (or us) promptly if you suspect unauthorized access.
2.3 Customer responsibility. The Customer is responsible for who it invites, the roles it assigns, and its Authorized Users' compliance with these Terms, as set out in the Subscription Agreement. Steeryn may rely on the Customer's instructions about your account.
2.4 End of authorization. You may not access the Service after the Customer withdraws your authorization or its subscription ends.
3. Acceptable use
Use the Service only for the Customer's internal charter-management operations. You will not, and will not help anyone else to:
- (a) access or attempt to access another tenant's data, another user's account, or any data your role does not grant;
- (b) bypass authentication, authorization, rate limits, or other safeguards, or probe, scan, or test the vulnerability of the Service (good-faith coordinated disclosure to steeryn@costasails.com, without exploiting or publicly disclosing the issue, excepted);
- (c) resell, sublicense, share, or provide the Service to anyone who is not an Authorized User;
- (d) copy, scrape, crawl, or bulk-extract the Service, its interface, or its market datasets except through an authorized export feature for the Customer's internal use; reverse engineer, decompile, or attempt to discover source code or underlying models (except to the limited extent such a restriction is prohibited by law); or use the Service or its outputs to build a competing product;
- (e) upload unlawful content, malware, or data you or the Customer have no right to provide;
- (f) upload payment-card data or payment credentials (the Service has no payment features), or enter government identifiers anywhere other than the crew-record fields the Service provides for them (which store them encrypted);
- (g) provide a competitor's nonpublic pricing, booking, availability, forecast, or demand information for use in pricing analytics, unless the Customer has a lawful independent right to use it and Steeryn has approved the use in writing;
- (h) use the Service to exchange competitively sensitive information with a competitor, coordinate prices, or violate antitrust, privacy, export, or sanctions law;
- (i) interfere with the operation of the Service, impose an unreasonable load on it, or use automated means in a way that disrupts other users.
We may suspend an account or an integration that threatens the security or integrity of the Service. Where practicable we work through the Customer's administrator and give notice first, restoring access when the issue is resolved; we may act immediately when reasonably necessary to protect the Service or others.
4. Customer Data
4.1 The Customer owns its data. All data the Customer or its Authorized Users submit, and all data the Service ingests on the Customer's behalf from the Customer's connected systems (financial, accounting, booking, and CRM applications), is "Customer Data" and belongs to the Customer. Steeryn has only the limited license in the Subscription Agreement: to host, process, and display it to provide and support the Service. Submit data to the Customer's workspace only when the Customer has authorized you to and has the right to process it.
4.2 Connected systems. Integrations with the Customer's financial, accounting, booking, and CRM applications run under the Customer's own accounts and vendor agreements. Steeryn is not responsible for those systems' availability or the accuracy of the data they supply.
4.3 Privacy. Personal data is handled per the Privacy Policy and, for subscribed Customers, the DPA. The management company is the controller of its workspace data; Steeryn is its processor.
5. Pricing recommendations are advisory only
The Service analyzes market and booking data and suggests charter prices, discounts, and timing. These are decision-support outputs, not instructions, and not a guarantee of bookings, revenue, or any commercial outcome. They can be affected by the accuracy and freshness of source data, by market shifts, and by modeling assumptions.
Pricing analyses compare the Customer's own data with market rates, availability, and demand signals obtained from public sources and licensed market-data feeds. Steeryn does not use one Customer's nonpublic competitively sensitive information to generate pricing recommendations for another Customer, and the Service is not designed to price an individual guest based on that person's identity, behavior, or inferred willingness to pay.
Every pricing decision is made by the Customer. No rate takes effect through the Service without a human choosing it, and responsibility for pricing decisions and their commercial outcomes rests with the Customer. Steeryn does not provide legal, accounting, tax, investment, or financial advice; verify figures against your books of record.
6. Availability
We aim to keep the Service available and will use commercially reasonable efforts to do so, but the Service is provided without an uptime guarantee unless a Customer's Order Form says otherwise. Maintenance, dependencies on third-party providers, and factors outside our control can cause interruptions, and third-party systems and public or licensed data sources can change or become unavailable outside our control.
7. Intellectual property
Steeryn and its licensors own the Service: its software, models, methods, workflows, design, documentation, and compilations of market information. You get only a limited, revocable right to use the Service under these Terms and the Customer's subscription; no ownership or source-code rights are granted. Feedback you choose to give may be used to develop and improve the Service without payment or attribution; Steeryn will not publicly identify you or disclose the Customer's confidential information in doing so.
8. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A CUSTOMER'S SUBSCRIPTION AGREEMENT, THE SERVICE AND ITS OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". STEERYN DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS ANALYSES OR RECOMMENDATIONS WILL BE COMPLETE, CURRENT, ACCURATE, OR PROFITABLE.
9. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business, goodwill, or data; and (b) Steeryn's total aggregate liability arising out of the Service is capped at the fees paid by the relevant Customer in the 12 months before the claim. Where a Subscription Agreement applies, its liability terms govern; if no Subscription Agreement applies to a claim you bring directly, Steeryn's total liability to you will not exceed US$100. Some jurisdictions do not allow certain disclaimers or limitations, so Sections 8 and 9 apply only to the extent permitted by law.
10. Termination and data export
10.1 A Customer's access ends per its Subscription Agreement; an individual account ends when the Customer removes it or the subscription ends. Steeryn or the Customer may also suspend or end your access if you violate these Terms or your use creates a security or legal risk.
10.2 Export window. On termination of a subscription, the Customer may export its Customer Data for 30 days. After that window, Steeryn deletes or returns Customer Data as the DPA provides (subject to backup-retention windows and legal retention duties).
10.3 Sections that by nature survive (acceptable use, ownership, confidentiality, disclaimers, liability limits, governing law) survive termination.
11. Changes to the Service or these Terms
The Service evolves; features may change. We may update these Terms by posting the new version with a new effective date and giving Customers notice of material changes through the Service or the Customer. Continued use after the effective date is acceptance. Changes do not override a signed Subscription Agreement.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, and disputes are subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas (the same choice as the Subscription Agreement's). Where a Customer's Subscription Agreement applies to a dispute, its governing-law and venue terms control.
